Minimum Advertised Price (MAP) Policy

1. Purpose

KoiGuard maintains a Minimum Advertised Price (MAP) policy to protect the value and integrity of the KoiGuard brand and to ensure a fair and competitive marketplace for all authorized dealers. This policy preserves the premium positioning of KoiGuard products and ensures that authorized dealers who invest in customer education, product knowledge, and customer service are not undercut by sellers who do not make these investments.

2. Scope

This policy applies to all authorized KoiGuard dealers, distributors, and resellers in the United States. It covers all advertising of KoiGuard products in any medium, including but not limited to:

• Websites and online marketplaces (Amazon, eBay, Walmart Marketplace, etc.)
• Email marketing and newsletters
• Social media posts and advertisements
• Print advertisements, flyers, and catalogs
• Coupon and deal websites
• Comparison shopping engines (Google Shopping, PriceGrabber, etc.)

3. MAP Pricing

The Minimum Advertised Price for each KoiGuard product is set by KoiGuard and provided to authorized dealers in the current wholesale price sheet. MAP prices are equal to the Manufacturer's Suggested Retail Price (MSRP) unless otherwise noted. KoiGuard reserves the right to adjust MAP prices at any time with reasonable notice to dealers.

4. What Constitutes Advertising

For purposes of this policy, "advertising" includes any public-facing communication that includes a price for a KoiGuard product. This includes:

• Product listing pages on your website or third-party marketplace
• Any page accessible via search engine indexing
• Shopping cart pages that display pricing before the customer begins checkout
• Email communications sent to more than one recipient
• Social media posts visible to the public

The following are not considered advertising under this policy:

• Pricing displayed only after a customer has added a product to their cart and begun the checkout process ("in-cart pricing")
• Pricing provided in private, one-on-one communications with a customer
• Pricing on password-protected dealer or wholesale portals

5. Bundling and Free Shipping

Dealers may bundle KoiGuard products with other products or services, provided that the advertised price of the KoiGuard product within the bundle is at or above MAP. Offering free shipping on KoiGuard products is permitted and is not considered a MAP violation.

6. Violations and Consequences

KoiGuard monitors advertised pricing across all channels. Violations of this MAP policy will be addressed as follows:

• First Violation: Written notice to the dealer with a request to correct the advertised price within 48 hours.
• Second Violation: Written warning that continued violations will result in account suspension.
• Third Violation: Suspension of the dealer's wholesale account for a minimum of 30 days.
• Continued Violations: Permanent termination of the dealer's authorized dealer status.

7. Reporting Violations

If you become aware of a MAP violation by another dealer, please report it to Support@KoiGuard.com. Include the dealer name, the product, the advertised price, and a screenshot or link to the advertisement. All reports are kept confidential.

8. Policy Updates

KoiGuard reserves the right to modify this policy at any time. Dealers will be notified of changes via email at least 14 days before the updated policy takes effect. The most current version of this policy will always be available on this page.
